Welcome to Dex—the original language‑learning camera built for curious kids and caring families. These Terms of Service (the "Terms") form a binding agreement between you and Worldex Labs, Inc. ("Dex," "we," "our," or "us"). They govern your access to and use of (a) the Dex hardware device, (b) the Dex mobile or web applications, (c) www.dex.camera and any sub‑domains (collectively, the "Site"), and (d) any content, services, firmware, software, or features that we make available through the foregoing (together with the Dex device, the "Services").
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING ANY OF THE SERVICES, OR BY CLICKING "I AGREE" OR SIMILAR WHENEVER THIS OPTION IS PRESENTED, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS AND OUR Privacy Notice, WHICH IS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICES.
1. Eligibility & Responsibility for Minors
1.1 Adult Account Holders. The Services are offered only to individuals who are 18 years or older and capable of entering into a legally binding contract. You, as the parent or legal guardian (the "Account Holder"), must create and maintain the Dex account and are fully responsible for all activity under that account, including actions taken by children who use the Dex device.
1.2 Children's Use. The Dex device is intended for users ages 3‑8 only under ongoing adult supervision. By granting a child access, you represent that you are their parent or legal guardian, or have received verifiable parental consent, and that you will ensure the child's compliance with these Terms.
2. Accounts & Security
2.1 Registration. To unlock the full functionality of Dex you must create an account, provide accurate information, and keep it up to date.
2.2 Credentials. Keep login credentials confidential. You are responsible for all activity that occurs under your account.
2.3 Equipment. You are responsible for obtaining and maintaining any Internet connection, data plan, and compatible hardware needed to access the Services.
3. License & Acceptable Use
3.1 Limited License. We grant you a personal, non‑exclusive, non‑transferable, revocable license to use the firmware, software, and content that ships with or is downloaded to the Dex device and companion apps solely for personal, non‑commercial use in accordance with these Terms.
3.2 Restrictions. You agree not to (a) copy, modify, or create derivative works of any part of the Services; (b) reverse engineer, decompile, or attempt to extract the source code except as expressly permitted by law; (c) sell, resell, lease, or sublicense the Services; (d) bypass or disable any security or usage rules; or (e) use the Services in any manner that could harm a child or violate any applicable law or regulation.
4. Beta Program & Prototype Devices
4.1 Pre‑Release Hardware. If we loan or sell you an engineering prototype or other pre‑release hardware (each, a "Prototype"), you acknowledge that Prototypes are not final consumer products, may not be FCC‑certified, and may contain errors or defects. Prototypes are provided "AS IS" for evaluation only.
4.2 Fleet Control. We may remotely disable, update, or wipe any Prototype at our discretion. You must return or update the Prototype as directed. Title to Prototypes remains with Dex unless explicitly transferred.
4.3 Feedback. You agree to provide reasonable feedback on your Prototype experience. We may use this feedback without restriction or compensation.
5. Purchases, Pre‑Orders & Payment Terms
5.1 Pre‑Orders. When you place a pre‑order you authorize Dex to charge the payment method provided for the amount displayed. Estimated ship dates are not guaranteed.
5.2 Refunds. You may cancel a pre‑order for a full refund at any time before the retail unit ships. For shipped products, our standard Return Policy applies.
5.3 Taxes & Shipping. Prices exclude applicable taxes, duties, and shipping charges, which will be added at checkout.
6. User Content & License Grants
6.1 "User Content." Any photos, audio clips, text, or other material a user uploads, records, or otherwise makes available via the Services is "User Content."
6.2 Your Rights. You retain ownership of your User Content. However, to operate the Services you grant Dex a worldwide, royalty‑free, sublicensable license to host, store, reproduce, modify (e.g., to transcode), and display your User Content solely to provide and improve the Services.
6.3 Parental Consent for Child Content. For content created by or depicting a child, you represent that you have authority to grant the above license and to share such content with Dex.
7. Privacy & Children's Data
7.1 Privacy Notice. Our collection and use of personal information is described in our Privacy Notice. Please read it carefully.
7.2 Voice & Photos. By default, voice samples are processed on‑device and not stored. Optional cloud processing (for accent refinement or noise handling) requires separate, verifiable parental consent. Photos remain local unless you opt to sync them to the Dex app.
7.3 Compliance. We design our practices to comply with the U.S. Children's Online Privacy Protection Act (COPPA) and similar laws. Where laws differ, we comply with the stricter requirement.
8. Intellectual Property
8.1 Dex IP. The Services and all related intellectual property are owned by Dex and its licensors.
8.2 Trademarks. "Dex," the Dex logo, and all related names are Dex trademarks. You may not use them without our prior written permission.
9. Firmware & Software Updates
We may automatically download and install updates to your Dex device or app to improve safety and performance. You consent to such updates, which may change or remove features.
10. Third‑Party Services
Certain Services may display, integrate, or link to content from third parties (e.g., Wikipedia excerpts). Dex does not endorse or control these third‑party services and is not responsible for their content or practices.
11. Safety Disclaimers
Dex is an educational tool—it is not a toy suitable for unsupervised play and not a medical, diagnostic, or safety device. Do not allow children to use Dex while crossing streets, near water, or in other hazardous environments. Keep cords and small parts away from children under 3.
12. Warranty Disclaimers
EXCEPT AS EXPRESSLY SET OUT IN A SEPARATE LIMITED HARDWARE WARRANTY, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THOSE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DEX OR ITS SUPPLIERS BE LIABLE FOR (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR (B) AGGREGATE LIABILITY EXCEEDING THE GREATER OF (1) AMOUNTS PAID BY YOU TO DEX IN THE 12 MONTHS PRECEDING THE CLAIM OR (2) USD $100.
14. Indemnification
You will defend, indemnify, and hold harmless Dex and its affiliates from any claim arising out of (a) your use or misuse of the Services; (b) User Content; or (c) your breach of these Terms.
15. Binding Arbitration & Class‑Action Waiver
Please read this section carefully—it affects your rights.
15.1 Arbitration. Any dispute between you and Dex will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The place of arbitration will be San Francisco, California, unless we agree otherwise.
15.2 Class‑Action Waiver. Disputes must be brought on an individual basis—neither party may form or join a class action or other representative proceeding.
15.3 Opt‑Out. You may opt out of arbitration by sending written notice to legal@dex.camera within 30 days of first accepting these Terms.
16. Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or we believe it is necessary to protect children's safety or our network integrity. Upon termination, all licenses granted to you end immediately.
17. Changes to These Terms
We may revise these Terms from time to time. If we make material changes we will provide reasonable notice (e.g., via email or an in‑app prompt). Your continued use after changes become effective constitutes acceptance.
18. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law rules.
19. Severability & Waiver
If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary so that these Terms remain in full force. Our failure to enforce any right is not a waiver of future enforcement.
